Terms of Service

Effective 12 June 2026. TradeMetriq is a product of Metriq Tanzania Ltd, a company registered and operating in Arusha, United Republic of Tanzania. These Terms constitute a binding agreement between Metriq Tanzania Ltd, trading as TradeMetriq (“we”, “us”, “the Company”), and the organisation that subscribes to the platform (“Tenant”, “you”). Individual users of a Tenant account are bound by these Terms through the Tenant’s acceptance.

1. Service Description

TradeMetriq is a cloud-hosted, business-to-business (B2B) Software-as-a-Service (SaaS) platform providing predictive field-force automation tools for organisations in the fast-moving consumer goods (FMCG), manufacturing, and mobile-money sectors. The platform enables Tenants to:

  • Onboard, schedule, and manage field sales agents and supervisors;
  • Record, track, and analyse merchant outlet visits and point-of-sale activity;
  • Generate predictive key performance indicators (KPIs), route-efficiency scores, and stock-out risk alerts;
  • Manage mobile-money float allocation and agent compliance records;
  • Conduct field surveys and digital audits via the Progressive Web App (PWA) interface;
  • Visualise real-time and historical field activity on interactive mapping dashboards.

The specific features available to a Tenant depend on the subscription plan selected at onboarding. TradeMetriq reserves the right to modify, enhance, or discontinue features with reasonable prior notice to Tenants.

2. Account Registration and Acceptable Use

2.1  The Tenant must provide accurate, current, and complete information during registration and must maintain the accuracy of that information throughout the subscription term.

2.2  User credentials (usernames, passwords, API tokens) are issued on a per-named-user basis. Credentials must not be shared between individuals, automated systems, or third parties without TradeMetriq’s express written consent. The Tenant is fully responsible for all activity that occurs under its account.

2.3  The Tenant and its authorised users must not:

  • Reverse-engineer, decompile, disassemble, or attempt to derive the source code of any part of the platform;
  • Scrape, harvest, or systematically extract data from the platform by automated means, except through documented API endpoints provided by TradeMetriq;
  • Share platform access, proprietary reports, benchmark data, or any derived competitive intelligence with direct competitors of TradeMetriq;
  • Use the platform to process data for any purpose other than the Tenant’s own lawful field-force operations;
  • Introduce malicious code, viruses, or automated denial-of-service traffic into the platform;
  • Circumvent any access-control mechanism, permission boundary, or audit logging facility;
  • Misrepresent the source of data submitted to the platform or submit fabricated field records.

2.4  TradeMetriq may suspend access immediately, without prior notice, where a breach of clause 2.3 is reasonably suspected, and will notify the Tenant in writing within 24 hours of such suspension.

3. Subscription, Billing, and Auto-Renewal

3.1  Subscriptions are offered on a monthly or annual basis. The selected billing cycle and per-agent fees are confirmed at onboarding and detailed in the Tenant’s order form or subscription invoice.

3.2  Subscriptions renew automatically at the end of each billing period unless the Tenant provides written notice of non-renewal at least thirty (30) calendar days before the renewal date.

3.3  Invoices are payable within fourteen (14) calendar days of issuance. TradeMetriq reserves the right to charge late-payment interest at the rate of 2% per month on overdue balances, in accordance with Tanzanian commercial practice.

3.4  If an invoice remains unpaid for more than thirty (30) days after the due date, TradeMetriq may suspend access to the platform. Access will be reinstated within two (2) business days of receipt of full payment.

3.5  Annual subscriptions paid in advance are non-refundable except where TradeMetriq materially fails to deliver the service and does not remedy that failure within thirty (30) days of written notice. In such event, a pro-rata refund of unused whole months may be provided at TradeMetriq’s discretion.

4. Service Level Agreement

4.1  TradeMetriq targets a monthly platform uptime of 99.5% for the web application and API endpoints, measured as the percentage of minutes in a calendar month during which the platform is accessible and functional, excluding scheduled maintenance windows and force-majeure events.

4.2  Scheduled maintenance windows will be communicated to Tenant administrators via email at least 48 hours in advance. Maintenance will, where operationally possible, be scheduled between 00:00 and 04:00 East Africa Time (UTC+3) on weekdays or during weekends.

4.3  In the event that monthly uptime falls below 99.5%, the Tenant may request a service credit equal to the pro-rata daily subscription fee for each full day of material unavailability, up to a maximum of ten percent (10%) of the monthly subscription fee. Service credits are the Tenant’s sole and exclusive remedy for uptime failures.

4.4  The PWA offline module operates on the Tenant’s device and does not form part of the uptime commitment. Data collected offline will sync to the platform when connectivity is restored.

5. Intellectual Property

5.1  All intellectual property rights in the TradeMetriq platform, including but not limited to software, algorithms, predictive models, user-interface designs, documentation, and trademarks, are and remain the exclusive property of TradeMetriq or its licensors. Nothing in these Terms transfers any intellectual property rights to the Tenant.

5.2  TradeMetriq grants the Tenant a limited, non-exclusive, non-transferable, revocable licence to access and use the platform solely for the Tenant’s internal field-force management operations during the subscription term.

5.3  The Tenant retains all ownership rights in the data it submits to the platform (“Tenant Data”). The Tenant grants TradeMetriq a limited licence to process Tenant Data solely as necessary to provide the contracted services, generate anonymised and aggregated benchmarking statistics, and maintain the security and reliability of the platform.

6. Limitation of Liability

6.1  To the fullest extent permitted by the laws of the United Republic of Tanzania, TradeMetriq’s aggregate liability to the Tenant for any and all claims arising out of or related to these Terms or the use of the platform — whether in contract, tort (including negligence), breach of statutory duty, or otherwise — shall not exceed the total subscription fees actually paid by the Tenant to TradeMetriq in the twelve (12) calendar months immediately preceding the event giving rise to the claim.

6.2  In no event shall TradeMetriq be liable to the Tenant or any third party for any of the following, even if TradeMetriq has been advised of the possibility of such damages:

  • Loss of profits, revenue, or business opportunity;
  • Loss of anticipated savings or goodwill;
  • Indirect, consequential, special, or punitive damages;
  • Losses arising from business decisions taken by the Tenant in reliance on predictive indicators or analytics generated by the platform;
  • Data loss or corruption attributable to the Tenant’s failure to follow recommended data-management practices.

6.3  Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

7. Confidentiality

7.1  Each party agrees to keep confidential all non-public information received from the other party in connection with these Terms (“Confidential Information”), and to use it solely for the purpose of performing obligations or exercising rights under these Terms.

7.2  Confidentiality obligations do not apply to information that: (a) is or becomes publicly known through no breach of these Terms; (b) was already known to the receiving party at the time of disclosure; (c) is independently developed by the receiving party without reference to the Confidential Information; or (d) is required to be disclosed by law or regulatory order, provided that the disclosing party gives reasonable prior written notice to the other party where legally permitted to do so.

8. Termination

8.1  Termination by either party (no-fault): Either party may terminate a month-to-month subscription by providing at least thirty (30) calendar days’ written notice to the other party. Annual subscriptions may be terminated at the end of the paid term with thirty (30) days’ written notice of non-renewal.

8.2  Termination for cause: Either party may terminate these Terms immediately upon written notice if the other party: (a) commits a material breach of these Terms and fails to remedy it within thirty (30) days of receiving written notice of the breach; (b) becomes insolvent, enters administration or liquidation, or ceases to carry on business.

8.3  Data export window: Following termination of the subscription for any reason, TradeMetriq will maintain the Tenant’s access to a read-only export interface for a period of thirty (30) calendar days (“Data Export Window”). During this window the Tenant may export all Tenant Data in available machine-readable formats (CSV, JSON). After the Data Export Window expires, TradeMetriq will securely delete all Tenant Data in accordance with the Data Processing Agreement.

8.4  Clauses relating to intellectual property, confidentiality, limitation of liability, and governing law survive termination of these Terms.

9. Governing Law and Dispute Resolution

9.1  These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the United Republic of Tanzania.

9.2  The parties agree that the courts of Arusha, Tanzania shall have exclusive jurisdiction to settle any dispute arising out of or in connection with these Terms.

9.3  Before initiating formal legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of at least thirty (30) days after one party has given written notice of the dispute to the other.

Privacy Policy

Effective 12 June 2026. This Privacy Policy explains how TradeMetriq collects, uses, stores, and protects personal data in connection with the platform. We align our practices with the principles of the General Data Protection Regulation (GDPR) to accommodate Tenants operating internationally, while remaining fully compliant with Tanzanian law.

1. Who We Are

TradeMetriq is a product of Metriq Tanzania Ltd, registered and operating in Arusha, United Republic of Tanzania. For privacy-related matters, the data controller contact is info@trademetriq.solutions. Where TradeMetriq acts as a data processor on behalf of a Tenant, the respective roles are described in the Data Processing Agreement (Section 3 of this page).

2. Personal Data We Collect

We collect the following categories of personal data in connection with the platform:

a) Account and contact data

  • Full name and job title of Tenant administrators and field agents;
  • Business email address and phone number;
  • Assigned role and permission level within the platform.

b) Field activity data

  • GPS coordinates and timestamped location records generated during field visits;
  • Merchant outlet identifiers, visit logs, check-in and check-out times;
  • KPI scores, performance ratings, and route-efficiency metrics;
  • Survey and audit responses submitted through the PWA;
  • Mobile-money float allocations, disbursement records, and balance data.

c) Device and technical data

  • Device type, operating system version, and browser identifier;
  • Internet Protocol (IP) address at the time of login;
  • Session tokens, activity timestamps, and API request logs;
  • Connectivity status indicators used to manage offline sync queues.

d) Usage analytics

  • Feature usage patterns, page-visit sequences, and dashboard interactions, collected solely to improve platform reliability and usability. This analytics data is processed entirely on our infrastructure and is not shared with third-party analytics providers.

3. Legal Basis for Processing

TradeMetriq processes personal data on the following legal bases:

  • Performance of a contract: Processing of account data, field activity data, and technical data is necessary to deliver the contracted platform services to the Tenant;
  • Legitimate interests: Usage analytics, security monitoring, audit logging, and fraud prevention are processed on the basis of our legitimate interest in maintaining a secure, reliable, and improving platform, provided those interests are not overridden by the rights of the individuals concerned;
  • Legal obligation: We may be required to retain certain transaction or access records under Tanzanian law or applicable regulation.

Where TradeMetriq acts as a data processor for Tenant-controlled data, the legal basis for processing rests with the Tenant as data controller. See Section 3 (Data Processing Agreement) for details.

4. How We Use Personal Data

  • To authenticate users and manage access controls across the seven-level permission model;
  • To calculate and display field-agent KPI scores, productivity metrics, and predictive indicators;
  • To generate route-optimisation recommendations and stock-out risk alerts;
  • To produce management dashboards, summary reports, and data exports for the Tenant;
  • To provide customer support and respond to technical queries;
  • To detect, investigate, and prevent security incidents, unauthorised access, or fraudulent activity;
  • To improve platform performance, fix defects, and develop new features using anonymised or aggregated data.

We do not sell, rent, or trade personal data to any third party. We do not use Tenant Data for advertising purposes.

5. Third-Party Processors

We engage a limited number of third-party sub-processors to assist in delivering the platform. These processors are bound by data processing agreements that require them to protect personal data to standards consistent with this policy. Categories of sub-processors include:

  • Infrastructure and hosting providers: Server infrastructure hosted in East Africa, providing compute, storage, and network services;
  • Transactional email delivery providers: Used to send system notifications, account alerts, and invitation emails. These providers receive recipient email addresses and message content only;
  • Payment processing providers: Used to process subscription invoices. These providers receive billing contact and payment method information only and do not have access to field or operational data.

A current list of sub-processors is available on request at info@trademetriq.solutions. We will notify Tenants of any material changes to our sub-processor arrangements with reasonable advance notice.

6. Data Retention

We retain Tenant Data for the duration of the active subscription and for ninety (90) calendar days following termination of the subscription (“Retention Period”). During the first thirty (30) days of the Retention Period, the Tenant may export its data as described in the Terms of Service. After the Retention Period expires, all Tenant Data is securely and irreversibly deleted from our systems and backups.

Platform-level technical logs (server access logs, security audit records) may be retained for a longer period of up to twelve (12) months for security and compliance purposes, in anonymised or aggregated form where personal identifiers are not required.

7. Cross-Border Data Transfers

Platform data is hosted on infrastructure located in East Africa. We endeavour to keep data within the region. Where any transfer of personal data outside East Africa is operationally necessary (for example, to a sub-processor providing specialised technical services), we ensure that such transfers are conducted only where appropriate safeguards are in place, which may include:

  • Standard contractual clauses or data transfer agreements aligned with internationally recognised frameworks;
  • The adequacy of data-protection laws in the recipient country as assessed by applicable regulatory guidance;
  • Binding corporate rules where the sub-processor is a member of a multinational corporate group.

Tenants who require specific data residency commitments should contact info@trademetriq.solutions to discuss contractual arrangements.

8. Individual Rights

Subject to applicable Tanzanian data-protection legislation and, where a Tenant’s operations involve individuals in the European Economic Area, the General Data Protection Regulation, individuals whose personal data is processed on the platform have the following rights:

  • Right of access: To obtain a copy of the personal data we hold about them;
  • Right to rectification: To request correction of inaccurate or incomplete personal data;
  • Right to erasure: To request deletion of personal data where retention is no longer necessary or lawful;
  • Right to data portability: To receive personal data in a structured, commonly used, machine-readable format;
  • Right to restriction of processing: To request that we limit how we process their data in certain circumstances;
  • Right to object: To object to processing carried out on the basis of legitimate interests.

Where TradeMetriq acts as a data processor, requests from individual field agents regarding their personal data should be directed in the first instance to the Tenant (their employer or contracting organisation), who is the data controller. TradeMetriq will cooperate with Tenants to fulfil valid data-subject requests within thirty (30) calendar days.

Privacy requests may be submitted to info@trademetriq.solutions. We will acknowledge receipt within 5 business days and aim to respond substantively within 30 days.

Data Processing Agreement

Effective 12 June 2026. This Data Processing Agreement (“DPA”) forms part of the contractual relationship between TradeMetriq and the Tenant and sets out the terms on which TradeMetriq processes personal data on the Tenant’s behalf. This DPA is incorporated by reference into the Terms of Service.

1. Definitions and Roles

1.1  “Data Controller” means the party that determines the purposes and means of processing personal data.

1.2  “Data Processor” means the party that processes personal data on behalf of and under the instructions of the Data Controller.

1.3  Tenant as Data Controller: With respect to personal data relating to the Tenant’s own field agents, supervisors, and merchants submitted to the platform, the Tenant acts as Data Controller and TradeMetriq acts as Data Processor.

1.4  TradeMetriq as Data Controller: With respect to platform analytics, account management data, security logs, and any data TradeMetriq processes to operate and improve the platform independently of Tenant instructions, TradeMetriq acts as Data Controller as described in the Privacy Policy.

2. Scope and Nature of Processing

TradeMetriq processes the following categories of personal data under the Tenant’s instructions:

  • Field agent identity data (name, employee or agent identifier, contact information);
  • GPS location data and visit logs generated by field agents during working hours;
  • Merchant and outlet data submitted by the Tenant;
  • KPI scores, visit outcomes, and survey responses;
  • Mobile-money float records and agent compliance data.

Processing is carried out for the purpose of delivering the field-force management services described in the Terms of Service. TradeMetriq shall not process Tenant Data for any purpose other than as expressly instructed by the Tenant in writing, except where required to do so by applicable law.

3. Processor Obligations

TradeMetriq, as Data Processor, shall:

  • Process personal data only on documented written instructions from the Tenant, unless otherwise required by applicable law;
  • Ensure that persons authorised to process Tenant Data are subject to appropriate confidentiality obligations;
  • Implement and maintain the technical and organisational security measures described in clause 4 of this DPA;
  • Assist the Tenant in responding to data-subject rights requests, security incident notifications, and data-protection impact assessments, as far as is reasonably practicable;
  • At the Tenant’s election following termination, delete or return all Tenant Data and delete existing copies, except where applicable law requires retention.

4. Security Measures

TradeMetriq implements the following technical and organisational security measures to protect personal data against unauthorised access, accidental loss, destruction, or alteration:

  • Encryption in transit: All data transmitted between client applications and the platform is encrypted using Transport Layer Security (TLS) version 1.2 or higher;
  • Encryption at rest: Tenant Data stored in databases and backup media is encrypted using AES-256 symmetric encryption;
  • Access controls: Platform access is governed by a seven-level role-based permission model. Administrative access to production systems requires multi-factor authentication and is restricted to named, authorised personnel;
  • Audit logging: All authentication events, administrative actions, and data exports are recorded in tamper-evident audit logs retained for a minimum of twelve (12) months;
  • Network security: Production infrastructure is protected by firewall rules, intrusion-detection systems, and regular vulnerability scanning;
  • Backup and recovery: Encrypted daily backups are maintained with a tested restoration procedure to support business continuity;
  • Personnel security: Staff with access to production systems are subject to background checks and annual security-awareness training.

5. Sub-Processor Arrangements

5.1  The Tenant provides general written authorisation for TradeMetriq to engage sub-processors, subject to the notification obligations in this clause.

5.2  TradeMetriq will inform the Tenant of any intended addition or replacement of a sub-processor at least thirty (30) calendar days before the change takes effect. The Tenant may object to such changes on reasonable, documented grounds by notifying TradeMetriq in writing within fifteen (15) days of the notification.

5.3  All sub-processors engaged by TradeMetriq are bound by data processing agreements that impose data-protection obligations no less protective than those in this DPA. TradeMetriq remains fully liable to the Tenant for the performance of its sub-processors’ obligations.

6. Data Breach Notification

6.1  In the event of a confirmed or reasonably suspected personal data breach affecting Tenant Data, TradeMetriq will notify the Tenant without undue delay and in any event within seventy-two (72) hours of becoming aware of the breach.

6.2  The notification will include, to the extent then known: (a) a description of the nature of the breach, including the categories and approximate number of individuals and personal data records affected; (b) the contact details of TradeMetriq’s point of contact for the incident; (c) a description of the likely consequences of the breach; (d) a description of the measures taken or proposed to address the breach and mitigate its effects.

6.3  Where all required information is not available within 72 hours, TradeMetriq will provide available information promptly and supplement the notification as further information becomes available. The Tenant is responsible for assessing notification obligations to affected individuals and regulatory authorities under applicable law.

7. Deletion on Contract End

7.1  Following termination of the subscription for any reason, TradeMetriq will maintain a thirty (30) day Data Export Window during which the Tenant may retrieve all Tenant Data using available export tools.

7.2  After the Data Export Window expires (or earlier, on the Tenant’s written request), TradeMetriq will securely delete all Tenant Data from live systems, encrypted backups, and any sub-processor systems, using industry-standard irreversible deletion procedures, within thirty (30) days of the end of the Data Export Window.

7.3  Upon request, TradeMetriq will provide the Tenant with written confirmation that deletion has been completed.

Cookie Policy

Effective 12 June 2026. This policy explains how TradeMetriq uses cookies and local browser storage technologies on the platform.

1. What Are Cookies

Cookies are small text files placed on your device when you visit a website or web application. They are widely used to make applications work correctly, to persist user preferences, and to provide session continuity. Browser local storage and session storage are related technologies that store data on the device without expiry (local storage) or only for the duration of the browser session (session storage).

2. Cookies We Use

Session authentication cookies (strictly necessary): We set a single, first-party, HTTP-only session cookie that stores your encrypted session identifier. This cookie is essential to keep you logged in as you navigate between platform screens. It expires automatically when you close your browser or log out, and it cannot be read by client-side JavaScript. Without this cookie, the platform cannot function.

CSRF protection tokens (strictly necessary): A cross-site request forgery (CSRF) token is stored in a short-lived cookie and validated on every state-changing request to the platform. This is a security requirement and cannot be disabled.

We do not use advertising cookies, re-targeting cookies, or any cookies set by third-party networks. We do not use third-party analytics services (such as Google Analytics, Mixpanel, or similar) that place tracking cookies or transmit your usage data to external servers.

3. Browser Local Storage for Offline PWA Functionality

The TradeMetriq field agent Progressive Web App (PWA) uses browser local storage and a service-worker cache to enable offline functionality. This means that:

  • Pending visit records, survey responses, and form data collected without an internet connection are stored in local storage on the agent’s device until a connection is available and the data can be synchronised to the server;
  • Application assets (HTML, CSS, JavaScript) are cached by the service worker to allow the PWA interface to load without a network connection;
  • No personal data stored in local storage is transmitted to any third party. Data remains on the device until it is synced to the platform, at which point it is cleared from local storage.

Agents who share a device should be aware that locally stored pending data is visible to any user of that device until it is synced and cleared. Shared devices are not recommended for accessing the platform.

4. Managing and Disabling Cookies

You can control and delete cookies through your browser settings. Common browser cookie controls:

  • Google Chrome: Settings → Privacy and security → Cookies and other site data;
  • Mozilla Firefox: Settings → Privacy & Security → Cookies and Site Data;
  • Apple Safari: Settings → Privacy → Manage Website Data;
  • Microsoft Edge: Settings → Cookies and site permissions → Manage and delete cookies and site data.

Please note that disabling or deleting the session authentication cookie will prevent you from logging in to the TradeMetriq platform. Because all cookies we use are strictly necessary for platform operation, disabling them means certain features of the platform will not be available to you.

Disclaimer

Effective 12 June 2026. This Disclaimer applies to all predictive outputs, analytical indicators, and data-driven projections generated by the TradeMetriq platform.

1. Predictive Indicators Are Statistical Tools, Not Guarantees

The platform generates predictive KPI scores, performance forecasts, route-efficiency ratings, and distribution-coverage indices using statistical models applied to historical and real-time field data. These outputs are decision-support tools designed to assist management in planning and prioritising field operations.

Predictive outputs are inherently probabilistic. They are based on patterns in historical data and are subject to the quality, completeness, and accuracy of the data submitted by field agents and Tenant administrators. TradeMetriq makes no representation, warranty, or guarantee that predictive indicators will accurately predict future field performance, sales outcomes, agent behaviour, or any other business metric.

2. Mobile Money Float Projections Are Estimates Only

The mobile-money float management module generates projections of agent float requirements, estimated transaction volumes, and rebalancing recommendations based on historical patterns, geographic indicators, and agent performance scores.

These projections are estimates for planning guidance only. Actual float requirements, transaction volumes, and revenue outcomes may differ materially from projected values due to factors outside the platform’s predictive scope, including but not limited to: regulatory changes, market events, network outages, agent turnover, seasonal demand variation, and macroeconomic conditions. Tenants should not rely solely on platform float projections when making disbursement decisions or financial commitments.

3. No Liability for Business Decisions

TradeMetriq is not liable, under any theory of liability, for any business decision, operational action, personnel decision, financial commitment, or contractual obligation undertaken by the Tenant or its management in reliance on data, analytics, scores, alerts, reports, or projections generated by or derived from the platform.

The Tenant is solely responsible for ensuring that decisions affecting its business, employees, agents, merchants, and end customers are made in accordance with applicable law, sound professional judgement, and appropriate independent verification of any material information.

4. Data Quality Dependency

The accuracy and usefulness of all platform outputs are directly dependent on the quality and integrity of data entered by field agents and Tenant administrators. TradeMetriq does not independently verify field data submitted by agents and cannot guarantee that submitted data is accurate, complete, or free from fraudulent entries. Tenants are responsible for maintaining appropriate data-quality controls and agent accountability processes within their organisations.

Legal and Privacy Contact

For all legal enquiries, privacy requests, data-subject rights exercises, data-breach notifications, or questions about these documents, please contact TradeMetriq at info@trademetriq.solutions. We aim to acknowledge all enquiries within 5 business days.
